Selection Process

Application Form

Agreements

These terms and conditions (these "Terms and Conditions") shall apply to the submission of any materials by you (the "Applicant") with regard to the subject matter hereof:

1. Minors must receive the permission of a parent or guardian in order to apply.

2. The Applicant may only submit original works of the applicant and such works must be unreleased and unpublished works (the "Applicant's Submission Work").

3. The selection process for the Applicant's applications from entry is in the following two stages: (1) first stage selection. (2) Final Selection.

4. . In order to pass to the next stage of the application process, the Applicant must submit Applicant's Submission Work adhering to the application conditions by the designated deadline date. Applicants who fail to submit an Applicant's Submission Work by the designated date are, as a rule, excluded from the application process.

5. If selected the Applicant will receive a cash prize of 1,000,000 Japanese Yen and must execute an Option Agreement concerning the movie and television and other media broadcast rights in the Applicant's Submission Work (the "Rights") submitted by the applicant (the "Option Agreement") with the sponsor or the party designated by the sponsor (collectively, the "Sponsor"). The Option Agreement will grant the Sponsor the exclusive right to develop the story with the aim of creating a feature length animated film.

6. All payments, if any, under the Option Agreement shall be made in Japanese Yen.

7. Even if the Sponsors determine, in their sole discretion, to exploit the Rights, they make no promises hereby to use the Applicant for writing a script/screenplay concerning the Rights or to otherwise retain the applicant's services in any way concerning the Rights.

8. Subject to the restrictions in the Option Agreement, the Applicant retains the copyright (including the rights specified in Articles 27 and 28 of the Japanese Copyright Act) in and to the Applicant's Submission Work.

9. The Sponsors will not make a new work based on the Applicant's Submission Work without the Applicant's permission.

10. The applicant acknowledges and agrees that there may be cases where the Sponsors may make works that are similar to the Applicant's Submission Work without being based on the Applicant's Submission Work ("Similar Works"). The applicant agrees, even in such cases as where there are Similar Works made by the Sponsors, that the applicant will not make any claims, suits or objections to or against the Sponsors regarding such Similar Works.

11. The Applicant's ownership rights in the Applicant's Submission Work shall be limited to works that are original, unreleased and unpublished. If the Sponsors have reason to establish that any work or materials submitted by an Applicant is a released or published work (or is a sequel or spin-off of such) or is a work that is based on a third party's work or other property, then such work shall be excluded from the application process. The same shall apply even after the selection process has finished.

12. The Applicant hereby warrants and represents that it has the right to enter into these Application Terms and Conditions and to submit the Applicant's Submission Work to the Sponsors.

13. The Applicant agrees to defend at its own cost and expense any claims or demands from third parties to or against the Sponsors (and its employees, contractors, advisors and directors) that the Applicant's Submission Work or any other work or materials submitted by the applicant to the Sponsors breaches any contract or violates any copyrights or other intellectual property rights. In addition, the Applicant agrees to fully indemnify the Sponsors (and its employees, contractors, advisors and directors) from any such claims and demands and associated damages and costs, including but not limited to legal damage awards/judgments, litigation expenses and attorneys' fees, whether nominal or significant.

14. These Terms and Conditions shall be governed as to all matters, including validity, construction, and performance, by and under the laws of Japan, and all disputes, controversies, or differences that may arise between the Applicant and the Sponsors, in relation to or in connection with these Terms and Conditions shall be settled and resolved exclusively by binding arbitration in accordance with the Rules of the Japan Commercial Arbitration Association. The Arbitration proceedings shall be conducted in Tokyo, Japan. The Arbitrator shall have the sole discretion to determine the extent and scheduling of any and all discovery to be promulgated in resolving any dispute between the Applicant and the Sponsors hereunder. Costs and attorney fees incurred by each the Applicant and the Sponsors in the arbitration shall not be reimbursed by the other. Notwithstanding the foregoing, nothing in these Terms and Conditions shall prevent the Applicant or the Sponsors from seeking injunctive relief or a restraining order from a court of competent jurisdiction in anywhere in the world where such injunctive relief or restraining order shall be applied.
